York Space Systems Inc. (NYSE: YSS) announced it has acquired Orbion Space Technology, a Michigan-based developer of advanced spacecraft propulsion systems, in a move designed to strengthen York’s vertically integrated satellite manufacturing capabilities and improve supply-chain resilience for national security and commercial space programs. Deal Structure
Under the terms of the merger agreement, York will acquire all of Orbion’s outstanding equity through a combination of cash and approximately 2.8 million shares of York common stock issued to Orbion stakeholders. The stock portion of the transaction will be subject to transfer restrictions under the merger agreement.
Once completed, Orbion will operate as a wholly owned subsidiary of York Space Systems, allowing the company to integrate propulsion technology directly into its satellite development programs.
